Working together
Client Services Agreement
These standard terms apply to ReggiesOnline professional engagements—business intelligence, data, AI and automation work—unless a signed agreement says otherwise. A signed contract or a written statement of work always takes precedence over this page.
Version 1.0 · Last updated 5 September 2026 · Applies to reggiesonline.com and ReggiesOnline professional services
1. How an engagement starts
Work begins from a written proposal or statement of work that names the deliverables, the assumptions behind them, the fee and the schedule. Your written approval of that document, or your payment of the first invoice, forms the agreement. Anything not listed there is out of scope until agreed separately.
2. Scope and change
Either side may propose a change. A change that materially affects effort, cost or timeline is confirmed in writing before it is started, with the revised fee and date stated. We will flag when a request crosses that line rather than absorb it silently.
3. What we need from you
Timely access to the data, systems, accounts and people the work depends on; a named decision-maker who can approve deliverables; and reasonable turnaround on review. Delays outside our control move the schedule and may affect the fee.
4. Ownership of the work
On full payment, you own the deliverables created specifically for you—reports, dashboards, models, scripts and documentation—together with any custom code written for your engagement. ReggiesOnline keeps ownership of its pre-existing tools, templates, frameworks, generic utilities and know-how, and grants you a perpetual, non-exclusive licence to use those components as embedded in your deliverables. Nothing in this section transfers rights in third-party or open-source components, which stay under their own licences.
5. Your data
Your data remains yours. We use it only to perform the engagement, hold it no longer than the work and any agreed support period require, and return or delete it on request. Where a project involves personal data, both sides will agree in writing who is responsible for what before that data is shared.
6. Confidentiality
Each side will protect the other's non-public information with at least reasonable care, use it only for the engagement, and limit access to people who need it. This survives the engagement. It does not cover information that is public, already known, independently developed, or required to be disclosed by law.
7. Fees, invoicing and expenses
Fees and the payment schedule are stated in the proposal. Unless agreed otherwise, invoices are due within 15 days of issue. Pre-approved out-of-pocket expenses—third-party licences, cloud costs, travel—are billed at cost. Taxes and payment-processing charges are added where applicable. Late payment may pause work after written notice.
8. Acceptance and correction
You have 10 business days from delivery to review a deliverable and report anything that does not meet the agreed scope. We will correct in-scope defects at no charge. Silence beyond that period is treated as acceptance.
9. Third-party platforms
Engagements often run on platforms you license directly—Microsoft, cloud hosting, database and analytics providers. Their availability, pricing, limits and terms are outside our control, and their subscription costs are yours unless the proposal states otherwise.
10. Warranty and liability
We perform the work with reasonable skill and care, in a professional manner, using competent people. We do not warrant an uninterrupted or error-free result, or any particular commercial outcome. To the extent permitted by law, neither side is liable for indirect or consequential loss, and each side's total liability for an engagement is capped at the fees paid for that engagement. Nothing here excludes liability for fraud, wilful misconduct, or anything that cannot lawfully be excluded.
11. Ending an engagement
Either side may end an engagement on 14 days' written notice, or immediately for a material breach that is not fixed within 14 days of notice. On termination you pay for work performed and committed costs to that date, and we hand over completed and in-progress deliverables for that portion.
12. Non-solicitation and references
Neither side will directly solicit the other's personnel during the engagement and for six months afterwards, except through a public job posting. We will not name you as a client or describe the work publicly without your written permission.
13. Governing law
These terms are governed by the laws of the Republic of the Philippines, with disputes subject to the courts of Cebu unless a signed agreement provides otherwise. Both sides will attempt a good-faith discussion before starting formal proceedings.
14. Nothing here is legal advice
This page states our standard commercial position. It is not legal advice, and for a significant engagement both sides should have their own adviser review the signed agreement.
